These Website Terms of Use (the “Terms”) govern your use of the website at todai.io, including www.todai.io and any pages that link to these Terms (the “Site”). The Site is operated by Todai Inc., a Delaware corporation (“Todai,” “we,” “our,” or “us”). By using the Site you agree to these Terms. If you do not agree, do not use the Site.
What these Terms cover
These Terms cover the Site only: the public pages you can read without an account, and the contact form on them.
They do not cover the Todai product (the “Service”), including app.todai.io and anything you reach by signing in. Use of the Service is governed by the agreement between Todai and the customer that gave you access, such as an order form, master subscription agreement or pilot agreement (a “Customer Agreement”). If anything in these Terms conflicts with a Customer Agreement, the Customer Agreement applies to the Service.
Changes to these Terms
We may update these Terms from time to time. The effective date at the top shows when they last changed. If you use the Site after a change, you accept the updated Terms. Material changes may also be noticed on the Site.
Privacy
Our Privacy Policy at todai.io/privacy explains what information we collect through the Site, including through the contact form, and how we use it. By using the Site you acknowledge the Privacy Policy.
Who may use the Site
You must be at least 18 years old to use the Site or submit the contact form. The Site is intended for business use by people acting on behalf of a company or organization.
Our content
The Site and everything on it, including text, design, graphics, artwork, logos, trademarks, software and the way they are arranged (the “Site Content”), belong to Todai or its licensors and are protected by copyright, trademark and other laws. “Todai” and the Todai logo are trademarks of Todai Inc.
You may view the Site and print or save pages for your own reference while considering Todai's products. Nothing on the Site gives you any other right to the Site Content. You may not copy, reproduce, modify, publish, distribute, sell or create derivative works from the Site Content without our written permission.
Acceptable use
Use the Site only for its intended purpose: learning about Todai and getting in touch with us. You agree not to:
- use the Site in any way that breaks the law or infringes anyone's rights;
- submit false, misleading or infringing information, or information about someone else without their permission;
- access, scrape, crawl, harvest or extract data from the Site by automated means, or use any part of the Site Content to train or develop a machine learning or artificial intelligence model, except as search engines do to index public pages;
- probe, scan or test the Site for vulnerabilities, interfere with its operation, or try to bypass any security or access measure;
- upload or transmit viruses, malicious code or anything else harmful;
- misrepresent who you are or your affiliation with any person or company;
- frame, mirror or link to the Site in a way that implies endorsement or association with Todai, or reproduce any part of it on another site.
We may suspend or block access to the Site, without notice, if we believe these Terms have been breached.
What you send us
When you submit the contact form or otherwise write to us through the Site, you confirm the information is accurate, that you are entitled to share it, and that it does not include sensitive personal information or anyone's confidential information. Please do not send us confidential information through the Site; we are not under any obligation of confidentiality for it.
If you give us ideas, suggestions or other feedback about the Site or our products, we may use them freely, without any obligation to you.
Submitting the form does not create any contract for the Service. Any engagement with Todai is set out in a separate Customer Agreement.
Third-party links
The Site may link to websites and services we do not control, such as the logos and names of third-party tools shown on the contact form. We provide them for convenience and are not responsible for their content, policies or practices. Third-party names and logos belong to their owners and do not imply any affiliation with, or endorsement by, Todai.
Disclaimers
The Site and the Site Content are provided “as is” and “as available,” for general information about Todai. To the fullest extent permitted by law, Todai disclaims all warranties, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy and uninterrupted or error-free operation. Nothing on the Site is a commitment to deliver any product or feature, or advice to rely on.
Limitation of liability
To the fullest extent permitted by law, Todai and its officers, directors, employees, agents and licensors will not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, revenue, data or goodwill, arising out of or relating to the Site or these Terms, however caused and under any theory of liability, even if advised of the possibility of such damages.
Our total liability for all claims relating to the Site or these Terms will not exceed one hundred US dollars (USD 100).
These limits do not apply to liability that cannot be limited under applicable law, including liability for fraud or willful misconduct.
Indemnification
You agree to defend, indemnify and hold harmless Todai and its officers, directors, employees and agents from any claims, liabilities, damages, losses and expenses, including reasonable legal fees, arising out of or related to your breach of these Terms or your misuse of the Site.
Governing law and disputes
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws rules. Any dispute arising out of or relating to the Site or these Terms will be brought exclusively in the state or federal courts located in the State of Delaware, and you consent to the jurisdiction of those courts. Nothing in this section prevents either party from seeking injunctive relief in any court of competent jurisdiction.
General
These Terms, with the Privacy Policy, are the entire agreement between you and Todai about the Site. If any part of these Terms is found unenforceable, the rest remains in effect. Our failure to enforce any part of these Terms is not a waiver of it. You may not assign these Terms; we may assign them to an affiliate or a successor. These Terms do not create any partnership, agency or employment relationship.
